HaulLynx Marketplace Terms
These HaulLynx Marketplace Terms (the “Marketplace Terms”) govern access to and use of the HaulLynx marketplace for commercial freight equipment and related services (the “Marketplace”). These Marketplace Terms supplement the HaulLynx Terms of Service. By listing, searching for, reserving, renting, providing, or otherwise using equipment through the Marketplace, you agree to these Marketplace Terms and the Terms of Service.
If these Marketplace Terms conflict with the Terms of Service concerning a Marketplace transaction, these Marketplace Terms control for that transaction. Any booking-specific terms displayed and accepted at checkout also form part of the applicable agreement.
1. Marketplace Roles
The Marketplace may allow:
- an equipment owner, lessor, fleet, carrier, or other authorized provider (an “Owner”) to list commercial freight equipment;
- a carrier, fleet, or other authorized business (a “Renter”) to search for, reserve, and use listed equipment; and
- other authorized participants to support verification, payments, insurance, inspections, logistics, or related Marketplace functions.
An Owner and a Renter are each a “Marketplace User.”
HaulLynx provides technology that helps Marketplace Users discover equipment, exchange information, evaluate compatibility, form bookings, make or receive payments, and manage related records. Unless HaulLynx expressly agrees otherwise in a separate written contract, HaulLynx does not own, manufacture, maintain, inspect, operate, possess, lease as principal, or insure listed equipment. HaulLynx is not a motor carrier, equipment operator, or insurer. Any activity that is subject to transportation, brokerage, leasing, insurance, or other regulatory requirements will be governed by the actual services performed and applicable law, regardless of the label used in these Marketplace Terms.
2. Commercial Freight Equipment Only
The Marketplace is intended for lawful commercial freight equipment and related business use. Consumer vehicles, passenger transportation, unlawful cargo, stolen property, unsafe equipment, and listings that violate law or another party’s rights are prohibited.
Marketplace Users must have all licenses, registrations, authority, insurance, approvals, and contractual rights required for their activities and for the listed or rented equipment.
3. Eligibility and Verification
You must satisfy the eligibility requirements in the Terms of Service and provide accurate, current information requested for Marketplace access. HaulLynx may use government records, third-party services, submitted documents, payment information, insurance information, and other sources to verify identity, authority, ownership, operating status, or risk.
Verification is a point-in-time screening and is not an endorsement, guarantee, warranty, or prediction of a Marketplace User’s future conduct, equipment condition, legal compliance, or ability to perform. HaulLynx may approve, decline, limit, suspend, or reverify Marketplace access at any time when reasonably necessary for safety, security, compliance, or platform integrity.
4. Equipment Listings
Owners are responsible for ensuring that every listing is complete, accurate, current, and not misleading. A listing must accurately describe, as applicable:
- equipment class, dimensions, capacity, specifications, configuration, and compatibility;
- ownership or lawful authority to list and rent the equipment;
- current condition, maintenance status, known defects, recalls, restrictions, and required repairs;
- availability, location, pickup and return requirements, pricing, deposits, and additional charges;
- registration, inspection, insurance, and other legally required documentation; and
- photographs that fairly represent the actual equipment.
If illustrative, stock, generated, or representative imagery appears in the Marketplace, the listing details, inspection records, and actual user-supplied photographs for the specific equipment control. Marketplace Users must not rely on representative imagery as proof of the condition or identity of a particular unit.
Owners must promptly correct or remove inaccurate or unavailable listings. HaulLynx may edit presentation, request supporting information, suppress, or remove a listing that appears inaccurate, unsafe, unlawful, unavailable, or inconsistent with these Marketplace Terms.
5. Search, Matching, and Lynx Intelligence
The Marketplace may rank or recommend equipment using load details, equipment attributes, location, availability, operating history, compatibility information, pricing, documentation, and other signals. These features, including Lynx Intelligence outputs, are decision-support tools. They may be incomplete, delayed, or inaccurate and do not replace inspection, professional judgment, legal compliance, or independent confirmation.
A match, readiness score, verification badge, compatibility result, availability indicator, estimated price, or recommendation is not a warranty that equipment is safe, lawful, available, suitable for a particular load, or capable of completing a trip. The Renter and Owner remain responsible for confirming all material facts before pickup and use.
6. Reservations and Rental Agreements
A request is not confirmed until the Marketplace identifies it as accepted or confirmed. The Owner and Renter enter into a direct agreement for the use of the equipment when a booking is confirmed. That agreement includes:
- the listing and booking details;
- the price, taxes, fees, deposit, cancellation terms, and other disclosures shown at checkout;
- these Marketplace Terms and the Terms of Service; and
- any additional lawful terms accepted by both parties through the Marketplace.
Marketplace Users may not use side agreements to evade disclosed fees, safety controls, verification, or recordkeeping requirements. HaulLynx is not a party to the equipment rental agreement unless a separate written agreement expressly states otherwise.
7. Pricing, Fees, Taxes, and Payment Processing
Owners set or approve their equipment prices unless a separate agreement states otherwise. The Marketplace may display estimated totals, taxes, deposits, delivery or pickup charges, protection-plan charges, platform fees, payment-processing charges, and other amounts. The amounts and terms disclosed at checkout and in the confirmed booking control.
Payments may be processed by Stripe or another payment provider. Marketplace Users authorize HaulLynx and its payment providers to charge, collect, hold, allocate, offset, refund, or disburse amounts consistent with the confirmed booking, these Marketplace Terms, payment-provider rules, and applicable law.
HaulLynx may delay or withhold payouts when reasonably necessary to address suspected fraud, chargebacks, disputes, claims, sanctions screening, legal process, incomplete verification, potential policy violations, or amounts owed. Owners are responsible for taxes associated with their listings and earnings except taxes HaulLynx is legally required to collect or remit.
8. Cancellations, Refunds, and No-Shows
The cancellation and refund terms displayed for the specific booking at checkout or confirmation control. Unless those terms or applicable law provide otherwise:
- an unaccepted request may be withdrawn without creating a confirmed rental;
- cancellation after confirmation may result in fees, forfeited amounts, or reduced refunds;
- an Owner cancellation, material listing inaccuracy, failure to provide the equipment, or equipment that cannot lawfully or safely be used may support a refund or other remedy after review;
- a Renter no-show, late cancellation, failure to meet pickup requirements, or disqualifying condition may result in charges; and
- platform, processing, delivery, protection, or other fees are refundable only as disclosed for the booking or required by law.
HaulLynx may review records and facilitate an outcome, but does not guarantee that either party will receive a refund, reimbursement, lost-income payment, substitute equipment, or other remedy.
9. Pickup, Inspection, and Acceptance
Before taking possession, the Owner and Renter must verify the equipment identity, document its condition, and complete any required inspection or handoff process. The Renter must not accept or use equipment that appears unsafe, materially inconsistent with the listing, unlawfully registered, subject to an unresolved recall, or unsuitable for the intended use.
Unless the booking provides a different reporting period, visible damage, missing items, or material discrepancies should be documented in the Marketplace and reported promptly before departure. Photographs, videos, inspection records, timestamps, messages, and other contemporaneous evidence may be used to evaluate a claim.
10. Owner Responsibilities
Each Owner must:
- have lawful authority to list and rent the equipment;
- provide equipment that is safe, roadworthy, properly maintained, accurately described, and compliant with applicable law;
- disclose known defects, restrictions, recalls, and maintenance issues;
- maintain required registration, inspections, licenses, insurance, and records;
- provide agreed access, keys, documents, and pickup instructions;
- avoid discriminatory, deceptive, abusive, or unlawful practices; and
- cooperate reasonably with incidents, claims, recalls, investigations, and returns.
11. Renter Responsibilities
Each Renter must:
- use the equipment only for lawful commercial purposes and within its stated limits;
- ensure that the tractor, driver, load, route, cargo, and intended operation are compatible with the equipment;
- use properly licensed, qualified, and authorized drivers;
- conduct required pre-trip, in-trip, and post-trip inspections;
- secure cargo, follow maintenance and safety requirements, and comply with weight, hours-of-service, routing, hazardous-materials, and other laws;
- protect the equipment from theft, misuse, damage, liens, and unauthorized access;
- not sell, sublicense, re-rent, alter, or encumber the equipment without written authorization;
- promptly report breakdowns, collisions, citations, theft, damage, loss, recalls, or unsafe conditions; and
- return the equipment on time, to the agreed location, in the condition required by the booking, ordinary wear excepted where applicable.
The Renter is responsible for charges and losses allocated to it under the confirmed booking, including authorized charges for excess use, late return, cleaning, towing, impound, damage, missing equipment, citations, tolls, or other documented costs.
12. Insurance
Owners and Renters must maintain all insurance required by law, the confirmed booking, and any displayed Marketplace requirements. Coverage must remain effective for the entire relevant period and must apply to the equipment, drivers, cargo, operations, and risks involved.
Proof of insurance, verification status, or a minimum requirement shown by HaulLynx does not guarantee that coverage is valid, sufficient, collectible, or applicable to a particular loss. Marketplace Users must independently review their policies, exclusions, deductibles, limits, additional-insured requirements, and contractual obligations with qualified insurance professionals.
Unless expressly stated in a separate written policy or agreement, HaulLynx does not provide insurance and is not an insurer, agent, adjuster, or guarantor of coverage.
13. Incidents, Damage, and Claims
In an emergency, contact emergency services first. Marketplace Users must promptly notify the appropriate insurer and HaulLynx of any collision, injury, theft, loss, damage, breakdown, impound, cargo event, or other material incident involving a booking.
The parties must take reasonable steps to prevent further loss and preserve evidence, including photographs, inspection reports, police reports, driver and witness information, repair estimates, invoices, telematics where lawfully available, and communications.
Claims are primarily resolved by the responsible parties and their insurers under applicable policies, contracts, and law. HaulLynx may collect information, place payment holds, facilitate communications, or assist with administration, but does not determine insurance coverage or guarantee payment of a claim.
14. Breakdowns, Recalls, and Unsafe Equipment
Equipment must not be operated when continued use would be unsafe or unlawful. If a breakdown or unsafe condition occurs, the Renter must stop when reasonably safe, notify the Owner, follow lawful emergency procedures, and avoid unauthorized repairs except when necessary to prevent immediate harm or additional damage.
Owners must promptly address safety recalls and material defects. HaulLynx may suspend a listing or account while a safety issue, recall, or claim is reviewed.
15. Prohibited Conduct
Marketplace Users must not:
- provide false listing, identity, authority, insurance, condition, location, or availability information;
- manipulate prices, rankings, reviews, availability, or transactions;
- use the Marketplace to evade taxes, sanctions, safety rules, insurance requirements, or law;
- transport prohibited or unlawfully handled cargo;
- access, operate, or transfer equipment without authorization;
- interfere with tracking, telematics, security, or inspection systems;
- harass, discriminate against, threaten, or defraud another person; or
- move a Marketplace transaction off-platform to avoid fees or controls.
16. Disputes, Chargebacks, and Cooperation
Marketplace Users should first use the Marketplace’s support and dispute process and provide requested documentation. HaulLynx may consider listing details, booking records, inspections, messages, payment records, location information, and other relevant evidence.
A payment dispute or chargeback does not eliminate contractual obligations. A Marketplace User is responsible for losses, fees, or reversals caused by its fraud, breach, inaccurate information, unauthorized transaction, or failure to provide requested evidence, to the extent permitted by law.
17. Marketplace Availability and Disclaimers
THE MARKETPLACE, LISTINGS, MATCHES, VERIFICATION SIGNALS, CONTENT, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” TO THE MAXIMUM EXTENT PERMITTED BY LAW. HAULLYNX DOES NOT WARRANT THE IDENTITY OR CONDUCT OF A MARKETPLACE USER; THE OWNERSHIP, CONDITION, SAFETY, LEGALITY, AVAILABILITY, VALUE, OR FITNESS OF EQUIPMENT; THE ACCURACY OF A LISTING OR RECOMMENDATION; OR THE COMPLETION OR ECONOMIC RESULT OF A TRANSACTION.
Marketplace Users assume the risks inherent in commercial equipment rental and freight operations, except to the extent those risks cannot lawfully be allocated.
18. Indemnification
In addition to the indemnification obligations in the Terms of Service, each Marketplace User will defend, indemnify, and hold harmless HaulLynx and its affiliates, officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, judgments, penalties, and reasonable legal fees arising from or relating to that Marketplace User’s listing, equipment, cargo, drivers, operations, booking, taxes, insurance, breach of these Marketplace Terms, or violation of law or another person’s rights, except to the extent caused by HaulLynx’s own gross negligence or willful misconduct where that limitation is prohibited by law.
19. Suspension and Removal
HaulLynx may suspend a listing, booking feature, payout, or Marketplace account when reasonably necessary to protect users, investigate a concern, comply with law, respond to a payment-provider requirement, or enforce these Marketplace Terms. Where appropriate, HaulLynx may require reverification, corrective action, or additional documentation before restoring access.
20. Relationship to the Terms of Service
The Terms of Service provisions concerning intellectual property, disclaimers, limitation of liability, dispute resolution, governing law, changes, notices, and general terms are incorporated into these Marketplace Terms. Capitalized terms not defined here have the meanings given in the Terms of Service.

- return the equipment on time, to the agreed location, in the condition required by the booking, ordinary wear excepted where applicable.

12. Insurance

Marketplace Users must not:
- provide false listing, identity, authority, insurance, condition, location, or availability information;
- manipulate prices, rankings, reviews, availability, or transactions;
- use the Marketplace to evade taxes, sanctions, safety rules, insurance requirements, or law;
- transport prohibited or unlawfully handled cargo;
- access, operate, or transfer equipment without authorization;
- interfere with tracking, telematics, security, or inspection systems;
- harass, discriminate against, threaten, or defraud another person; or
- move a Marketplace transaction off-platform to avoid fees or controls.
16. Disputes, Chargebacks, and Cooperation
Marketplace Users should first use the Marketplace’s support and dispute process and provide requested documentation. HaulLynx may consider listing details, booking records, inspections, messages, payment records, location information, and other relevant evidence.
A payment dispute or chargeback does not eliminate contractual obligations. A Marketplace User is responsible for losses, fees, or reversals caused by its fraud, breach, inaccurate information, unauthorized transaction, or failure to provide requested evidence, to the extent permitted by law.
17. Marketplace Availability and Disclaimers
THE MARKETPLACE, LISTINGS, MATCHES, VERIFICATION SIGNALS, CONTENT, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” TO THE MAXIMUM EXTENT PERMITTED BY LAW. HAULLYNX DOES NOT WARRANT THE IDENTITY OR CONDUCT OF A MARKETPLACE USER; THE OWNERSHIP, CONDITION, SAFETY, LEGALITY, AVAILABILITY, VALUE, OR FITNESS OF EQUIPMENT; THE ACCURACY OF A LISTING OR RECOMMENDATION; OR THE COMPLETION OR ECONOMIC RESULT OF A TRANSACTION.
Marketplace Users assume the risks inherent in commercial equipment rental and freight operations, except to the extent those risks cannot lawfully be allocated.
18. Indemnification
In addition to the indemnification obligations in the Terms of Service, each Marketplace User will defend, indemnify, and hold harmless HaulLynx and its affiliates, officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, judgments, penalties, and reasonable legal fees arising from or relating to that Marketplace User’s listing, equipment, cargo, drivers, operations, booking, taxes, insurance, breach of these Marketplace Terms, or violation of law or another person’s rights, except to the extent caused by HaulLynx’s own gross negligence or willful misconduct where that limitation is prohibited by law.
19. Suspension and Removal
HaulLynx may suspend a listing, booking feature, payout, or Marketplace account when reasonably necessary to protect users, investigate a concern, comply with law, respond to a payment-provider requirement, or enforce these Marketplace Terms. Where appropriate, HaulLynx may require reverification, corrective action, or additional documentation before restoring access.
20. Relationship to the Terms of Service
The Terms of Service provisions concerning intellectual property, disclaimers, limitation of liability, dispute resolution, governing law, changes, notices, and general terms are incorporated into these Marketplace Terms. Capitalized terms not defined here have the meanings given in the Terms of Service.
